Terms and Conditions
Architected Relations ("Arcrel")
Effective date: September 13, 2026
These Terms and Conditions ("Terms") govern your use of the Arcrel platform, including our website, web application, and the Arcrel mobile app for iOS and Android (together, the "Services"), provided by Architected Relations ("Arcrel," "we," "us").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Relationship to Service Agreements
The Services are provided to businesses under a service agreement between Arcrel and the client organization. If there is a conflict between these Terms and a signed service agreement, the service agreement controls for that client. These Terms govern individual use of the platform and mobile app.
2. Eligibility and Accounts
The Services are for business use by people 18 or older. Accounts are created and provisioned by Arcrel for clients and their authorized team members; there is no public self-registration.
You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at info@arcrel.com if you suspect unauthorized access. Clients are responsible for the actions of users they authorize on their account.
3. License
Subject to these Terms, Arcrel grants you a limited, non-exclusive, non-transferable, revocable license to use the Services, including the mobile app on devices you own or control, solely for the internal business purposes of the client account you belong to. This license ends when your access is terminated or the applicable service agreement ends.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Send messages through the platform without the consents required by applicable law, including the TCPA, CAN-SPAM, and carrier messaging rules
- Upload malicious code or attempt to probe, breach, or disrupt the Services or their security
- Access or attempt to access another client's data
- Copy, resell, sublicense, reverse engineer, or create derivative works from the Services
- Use automated tools to scrape or extract data from the Services except through interfaces we provide
- Impersonate any person or misrepresent your affiliation with any organization
We may suspend or terminate access for violations of this section.
5. Client Data and Responsibility
Clients own the business data they enter into the Services. Clients are responsible for the accuracy and legality of that data, for obtaining any consents required to collect and use it, and for their compliance with laws that apply to their business and communications, including consumer messaging and telemarketing laws. Arcrel processes client data to provide the Services as described in our Privacy Policy.
6. Intellectual Property
The Services, including all software, websites, automations, configurations, designs, and systems built or provided by Arcrel, are and remain the exclusive property of Arcrel and its licensors. Except for the limited license in Section 3, nothing in these Terms transfers any ownership rights. Arcrel's name, logo, and product names are trademarks of Architected Relations and may not be used without written permission.
7. Third-Party Services
The Services rely on third-party providers for functions such as hosting, telephony, email delivery, and payment processing, and may interoperate with third-party products a client connects. Arcrel is not responsible for third-party services, and your use of them may be subject to their own terms.
8. Fees
Fees for the Services are set out in the applicable service agreement and are billed as described there. Access to the Services may be suspended for accounts with unpaid balances.
9. Availability and Changes
We work to keep the Services available and reliable, but we do not guarantee uninterrupted operation. We may modify, update, or discontinue features of the Services. If a change materially reduces the functionality a client is paying for, the remedies in the client's service agreement apply.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Arcrel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Arcrel does not warrant that the Services will be error-free or that results, including marketing or revenue outcomes, will meet any particular expectation.
11. Limitation of Liability
To the fullest extent permitted by law, Arcrel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the Services. Arcrel's total liability for any claim arising from the Services will not exceed the fees paid by the applicable client for the Services in the one month before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Arcrel and its officers, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Services, or your violation of applicable law, including messaging and consumer protection laws.
13. Termination
We may suspend or terminate your access to the Services for violation of these Terms or as provided in the applicable service agreement. You may stop using the Services at any time; a client's cancellation rights are governed by its service agreement. Sections 5, 6, and 10 through 16 survive termination.
14. Mobile App and App Store Terms
The following applies to the Arcrel mobile app downloaded from the Apple App Store or Google Play:
- These Terms are between you and Arcrel only, not with Apple Inc. or Google LLC. Apple and Google are not responsible for the app or its content.
- Your license to the app is limited to use on devices you own or control, as permitted by the applicable app store's terms of service.
- Arcrel, not Apple or Google, is solely responsible for maintenance, support, warranties, and handling any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer protection or similar laws.
- In the event the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
- You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the app, and Apple has the right to enforce them against you.
- You must comply with any applicable third-party terms when using the app, such as your wireless carrier's data agreement.
15. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Placer County, California, and you consent to their jurisdiction.
16. General
These Terms, together with the Privacy Policy and any applicable service agreement, are the entire agreement between you and Arcrel regarding the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and notify active users through the Services or by email. Continued use of the Services after changes take effect means you accept the updated Terms.
